Amylyx Pharmaceuticals is looking for an experienced and collaborative Sr. Corporate Paralegal with public company experience to join its growing legal function and become a key member of the legal team. This position will report to the Global Chief Legal Officer. In this role you will have the opportunity to work cross functionally and interact with employees at all levels on a global scale.

Responsibilities include:

  • Prepare Board and committee materials, including minutes, resolutions and written consents; assist in the preparation of SEC filings, including periodic and current reports, proxy statements, Section 16 filings and confidential treatment requests in collaboration with internal and external accounting and legal teams; ensure continued organization and maintenance of corporate minutes and Board and committee materials; provide paralegal support to public financing and business development transactions
  • Support corporate development transactions, including due diligence, document preparation, and post-closing integration and administration.
  • Independently prepare, review, negotiate, finalize and file routine agreements and related documents, with attorney oversight when needed

Additionally you will play a role in the following legal functions and initiatives:

  • Administration of the Company’s insider trading policy, including by preparing and delivering trainings, administering the preclearance process and 10b5-1 plans
  • Amylyx has offices and employees in the US, Canada, and Europe. You will have the opportunity to support domestic and global subsidiaries, including preparation of governing documents, resolutions authorizing various transactions, foreign qualification, withdrawal and dissolution documents and powers of attorney.
  • Prepare and coordinate documentation for general legal matters including but not limited to securities compliance, drafting transactional documents, license agreements, employment law, immigration law, regulatory matters, litigation holds, risk management asset-backed financing and contract management.

Requirements:

  • Minimum 8 years of paralegal experience; bachelor's degree preferred
  • Team player a must!
  • Public company experience required
  • Experience working in the biotech industry preferred
  • Expertise in all Microsoft Office applications required
  • Familiarity with board software; Nasdaq BoardVantage a plus
  • Excellent professionalism and communication skills with sound judgment and commitment to ethical conduct, confidentiality and discretion
  • Ability to interface with outside counsel, vendors and collaborators
  • Self-starter; must possess outstanding attention to detail, drafting, proofreading, and organizational skills
  • Demonstrated ability to work independently and operate in a fast-paced, dynamic environment

License/Certificate:

  • Paralegal certification preferred
  • Notary Public preferred
